Walgreen Co. has formed a holding company as part of its takeover of Alliance Boots GmbH.
The holding company, Walgreens Boots Alliance Inc., was incorporated in Delaware, according to a filing with the Securities and Exchange Commission.
Walgreens Boots Alliance will be headquartered in the Chicago area. Walgreen Co. will continue to be based in Deerfield and Alliance Boots will maintain offices in the United Kingdom, according to the filing.
Walgreen announced Aug. 5 it would pay about $15 billion in cash and stock for the part of Alliance Boots it didn’t own. The Deerfield-based drugstore chain bought a 45 percent share of the Swiss health and beauty retailer in 2012.
The drugstore chain faced political pressure to remain based in the U.S. rather than reorganize the merged company overseas under a so-called tax inversion to trim its income tax burden.
Walgreens Boots Alliance earned $3.3 billion on sales of $108.6 billion on a pro-forma basis for the 12 months ended Aug. 31, according to the SEC filing.
