Jonathan Zabusky was chief executive of Seamless when it was acquired by the Chicago-based online and mobile food ordering company. Zabusky’s last day is Aug. 3 under an agreement signed Feb. 20, according to a Securites and Exchange Commission filing made public Monday.

Zabusky will receive his salary of $333,000 for 52 weeks after he leaves as well as health coverage and a car allowance. He will be subject to some noncompetition and nonsolicitation restrictions for two years.

GrubHub announced Feb. 5 it is getting into the delivery business after buying DiningIn and the pending purchase of Restaurants on the Run. GrubHub will deliver for about 3,000 restaurants nationwide, including some in Chicago.

The company’s entry into food delivery came as GrubHub reported fourth-quarter earnings of $10.8 million on revenue of $73.3 million. The company earned $2.2 million on revenue of $49 million in the fourth quarter of 2013. For the full year, GrubHub reported net income of $24.3 million on revenue of $253.9 million compared with earnings of $4.3 million on revenue of $170.1 million a year earlier.

GrubHub said it has 5.03 million active users in 2014, up from 3.42 million in 2013.
